Translation view of the German original. The document identifier and confirmation record continue to refer to the original version.

Version for standard agencies dated 14 October 2026.

1. Scope

These terms govern use of the contentmarkt agency area between Axel Springer Deutschland GmbH, Axel Springer Straße 65, 10888 Berlin, hereafter contentmarkt, and the agency for which access was established.

The agency area is intended for agencies and management companies using it for their business or self-employed professional activities. The agency confirms that it acts in that capacity. The person acting on its behalf must be authorised to represent it.

Individual agreements between contentmarkt and the agency take precedence over these terms. Using agency access does not make the terms for brands or Creators applicable to the agency.

2. Access and confirmation

contentmarkt establishes agency access by arrangement. The agency provides accurate information about its identity, address and people acting for it, and reports changes.

The contract for use of the agency area is concluded through express confirmation of these terms in the designated step. Setting a password, signing in and merely using the account do not replace that confirmation.

If an individual partner agreement is additionally required for access, it is subsequently displayed in full and confirmed separately. Acceptance is governed by the specific offer displayed. The agency features provided for that access become available only after the necessary confirmations.

Confirmed texts and confirmation records are available for download in the agency account. The record contains the relevant document version and confirmation time. For individual agreements, the person acting for the agency is also recorded.

The agency protects its access against unauthorised use. It informs contentmarkt immediately if misuse is suspected. Declarations may be made only by authorised people.

3. Features and collaboration

The Agency workspace is a separate workspace for the Agency. Creators do not receive access to this area through their connection. The Agency can create, edit and archive its own internal talent entries, invite Creators separately, manage their confirmed connections and view the platform data they have authorized it to access. The applicable scope is determined by the functions provided and the agreements confirmed for the specific access.

Internal talent entries contain a name assigned by the Agency and, optionally, profile information and a contact address. They can be saved before Creator registration. Saving, editing, archiving or restoring such an entry does not create a Creator account, send an invitation or confirm a connection or mandate. An invitation is triggered separately; matching contact addresses does not create a connection. Archiving an internal entry does not terminate an existing Creator connection or revoke any permission.

The agency may invite only Creators who expect such an invitation and for whom sufficient permission to make contact exists. An invitation link does not grant access to the invited Creator's account or data.

Creators use their own accounts and confirm their agency assignments themselves. The agency may neither request another person's login credentials nor confirm on a Creator's behalf. An entry by the agency or contentmarkt does not replace the Creator's confirmation.

If a Creator has separately and expressly authorised the agency to register them for campaigns, the agency can register them with their confirmed social profiles, provided they meet the relevant participation requirements. This authorisation is voluntary, independent of data-sharing permission and revocable at any time in the Creator account with effect for the future. Participations already created remain in place. Assignment or data-sharing permission alone grants no authorisation.

Creators submit clips themselves through their own accounts. Campaign-registration authorisation does not include submissions, payouts or consent to fees or contracts. It gives the agency no access to the Creator's login credentials, bank details or tax information.

The agency supports Creators according to its own arrangements with them. Agency access does not promise a particular number of participating Creators, posts or views, or a particular financial outcome.

4. Creator assignment and data access

Talent information entered by the Agency itself remains separate from confirmed Creator profiles and authorized platform data. It is visible in the Agency workspace for the relevant Agency access and is not presented as information confirmed by the Creator. The Agency enters only information for whose processing it has sufficient authorization. Merely creating an internal entry replaces neither confirmation of a connection nor permission to access data nor authorization from the Creator to register them for campaigns.

Confirmation of an assignment and permission to access personal platform data are separate processes. The Creator decides whether to grant the displayed agency the access provided for this purpose. Acceptance of these terms by the agency does not replace that permission.

With active permission, the agency can view the released information about profiles, campaign participation, submitted posts, review status, views, earnings and payout status. The agency uses this information only for the representation on contentmarkt agreed with the Creator and protects it against unauthorised disclosure.

The Creator can change or withdraw data-sharing permission in their account with effect for the future and end representation through the platform. contentmarkt then stops providing the agency with the personal details concerned. The agency also stops its corresponding use of representation data already received, unless its own legal obligation or another valid legal basis requires continued retention.

The agency's financial participation is separate from this data access. Whether and for how long it continues is governed by section 5 of these terms or a prevailing individual partner agreement. A continuing participation entitlement does not provide continued access to personal Creator data.

contentmarkt's privacy notices describe processing on the platform. The agency meets the privacy obligations applicable to its own processing and provides represented Creators with the required information. Neither these terms nor the partner agreement replaces consent under data protection law.

5. Financial participation

The agency brings Creators to contentmarkt and supports them in getting started on the platform. Creators confirm their agency assignments themselves through contentmarkt.

Collaboration begins with the agency's express confirmation of these terms and is concluded for twelve months. It ends after those twelve months without automatic renewal. The terms cover Creators whose agency assignment is confirmed during this contractual term.

contentmarkt charges a platform fee of 18% of Creator earnings. The agency receives a participation share of 20% of the net platform fee actually collected by contentmarkt from payouts to its assigned Creators. The 20% refers to that net amount, not total Creator earnings. The participation rate applies regardless of which contentmarkt campaigns they participate in.

For each Creator whose agency assignment was confirmed during the contractual term, participation continues for as long as that Creator remains registered on contentmarkt.

Expressly agreed individual participation terms take precedence over these standard terms and are confirmed separately.

Any participation in the platform fee promised by contentmarkt is funded from contentmarkt's own platform fee. This participation creates no additional platform fee or deduction from Creator remuneration.

For €100 net platform fee actually collected, the agency's standard share is €20. The €100 in this example is contentmarkt's net fee, not Creator earnings. Individually agreed participation terms take precedence over this standard example too.

Dashboard figures distinguish calculated participation shares from amounts actually paid. A calculation or display alone does not establish payment. Agency access does not trigger a payout to the agency.

Ending representation, data-sharing permission or platform access changes existing financial entitlements only where these terms or a prevailing individual partner agreement provide for it. A change to the displayed general rate does not replace an already agreed individual term.

6. Permitted use and platform protection

The agency uses the platform lawfully and only within its permissions. It may not manipulate assignments, confirmations, identities, campaign data or settlement bases, or access other accounts without authorisation.

In particular, fictitious registrations, pretending that a Creator has confirmed, circumventing access restrictions and using platform data for unagreed purposes are prohibited. The agency may not share personal data with other people or services without appropriate permission.

If the agency identifies incorrect assignments, calculations or possible unauthorised access, it reports this to contentmarkt at hallo@contentmarkt.net. Reporting does not waive an existing entitlement.

7. Availability and responsibility

contentmarkt provides the agency area within the offered features. Maintenance, technical faults and changes to external services may affect availability. These terms do not agree any specific uninterrupted availability.

Where specific indications of unauthorised access or misuse exist, contentmarkt may temporarily restrict affected features to the extent necessary to protect the platform or affected people. contentmarkt informs the agency of the restriction and clarification process unless doing so would undermine protective measures.

Both parties' liability is governed by statutory provisions. These terms do not create blanket agency liability for a Creator's conduct.

8. Termination and contractual changes

For standard agencies, duration and termination are governed by section 5 of these terms. Duration and termination of individually agreed collaboration are governed by the partner agreement. Statutory rights to terminate for good cause remain in place.

The agency may request closure of its access from contentmarkt. Existing entitlements and necessary records are handled under the applicable agreements and statutory retention obligations. Closing access does not retrospectively delete an already confirmed contract.

Changes to the content to these terms are communicated to the agency and presented separately for acceptance. Changing individual participation terms requires a corresponding new agreement. Silence, signing in or continued use are not treated under these terms as consent to changed participation terms.

A purely editorial correction does not change the substance of an existing confirmation. The originally confirmed version and its record remain traceable.

German law applies. Mandatory statutory provisions remain unaffected.
