Preamble

ContentMarkt operates a digital platform at https://contentmarkt.net for campaigns with Creators/clippers (hereafter “Creator”). Brands provide source footage and requirements. Creators turn these into short video clips and publish them on their own accounts on third-party platforms (in particular TikTok, YouTube and Instagram). ContentMarkt conducts campaigns in its own name for the brand and engages Creators under the terms applicable to them. ContentMarkt pays Creators through a licensed payment service provider based on views validated as billable by the platform. ContentMarkt does not itself host the clips and does not operate the third-party platforms mentioned.

ContentMarkt is also a reporting platform operator under Germany's Platform Tax Transparency Act (PStTG; implementing Directive [EU] 2021/514 — “DAC7”). Creator payouts require their tax cooperation; § 8a governs details and the effects on campaign delivery.

These terms govern only the legal relationship between ContentMarkt and the brand. They are intended exclusively for business operators within the meaning of § 14 BGB.

Definitions

For these terms:

  1. a)“Platform” means the software and website operated by ContentMarkt at https://contentmarkt.net, including related services;
  2. b)“Brand” means the company registering on the platform, offering campaigns and contracting with ContentMarkt under these terms;
  3. c)“Creator” / “Clipper” means people registered on the platform who create clips and publish them on their own third-party-platform accounts;
  4. d)“Campaign” means the project established by ContentMarkt based on brand information, including duration, objective and campaign specification;
  5. e)“Campaign specification” means the content, creative and legal requirements supplied by the brand for a campaign, including approval of source footage and permitted sounds;
  6. f)“Commercial campaign snapshot” means a campaign's immutable settlement configuration stored server-side by ContentMarkt, including in particular plan, all-in net CPM, currency, settlement metric, net budget cap and maximum billable views;
  7. g)“Source footage” means content supplied by the brand (in particular video, images, audio, music, trademark and other identifying rights) provided to Creators for creating clips;
  8. h)“Clip” means the short video created by the Creator from source footage and/or their own material;
  9. i)“Validated view” (also “qualified view”) means a video view validated as billable by the platform under ContentMarkt's anti-fraud and verification rules;
  10. j)“PSP” means the licensed payment service provider engaged by ContentMarkt (currently Stripe Connect, Stripe Payments Europe, Ltd. or the relevant licensed group company);
  11. k)“Net budget cap” means the maximum net invoice amount for a campaign stated in the commercial campaign snapshot. VAT, where applicable, is excluded.

1. Scope, contracting parties and roles

(1) These terms apply to all contracts between ContentMarkt and the brand for platform use, in particular offering and conducting campaigns and processing remuneration through the PSP.

(2) These terms are intended exclusively for business operators within the meaning of § 14 BGB, legal entities under public law and special funds under public law. By registering, the brand assures that it acts exclusively for purposes attributable to its business or self-employed professional activity. Use as a brand is not intended for consumers.

(3) ContentMarkt conducts campaigns in its own name as the brand's contracting party (principal model). It engages Creators under the terms applicable to them, provides technical infrastructure, validates views under anti-fraud rules and handles remuneration and payment through the PSP. Platform use alone creates no direct contractual relationship between brand and Creator.

(4) ContentMarkt guarantees no particular campaign success, in particular no specific number of views, reach, engagement or participation by a certain number of Creators.

(5) These terms take precedence over any general or purchasing terms of the brand. Deviating, conflicting or supplementary brand terms do not form part of the contract unless ContentMarkt expressly agrees to their application in text form. This also applies where ContentMarkt provides services without reservation while aware of such terms.

(6) Individual contractual arrangements in text form take precedence over these terms in individual cases (§ 305b BGB).

2. Brand registration and verification

(1) Platform use as a brand requires registration and a user account. Registration requires the brand to accept these terms in the version applicable at registration. Completing registration concludes the framework contract for platform use. There is no entitlement to registration or activation.

(2) The brand must provide truthful and complete registration information, in particular company name, legal form, address, legal representation, register entry and VAT ID where available. Changes must be updated promptly in account settings.

(3) ContentMarkt may verify the identity and authority of the brand and people acting for it and request suitable evidence (verification). ContentMarkt may make activation conditional on successful verification, including by the PSP in fulfilling anti-money-laundering obligations (Know Your Customer).

(4) The natural person acting for the brand assures that they are validly authorised to represent it and enter the obligations arising from these terms and campaigns. ContentMarkt may rely on the authority of people acting through the account.

(5) Login credentials must be kept secret and protected from third-party access. The brand is liable under general provisions for actions performed using its account.

3. Campaigns, plan selection and campaign specification

(1) The brand creates campaigns using the platform's designated features. For plan campaigns, it selects one of the offered Reach, Scale, Boost or Viral plans and a maximum net budget. Each campaign includes a specification containing in particular:

  1. a)the provided source footage and its permitted use;
  2. b)expressly approved sounds, music and audio recordings and their permitted scope of use;
  3. c)content and creative requirements;
  4. d)required advertising disclosure (§ 11);
  5. e)target platforms, duration, selected plan, all-in net remuneration per 1,000 validated views displayed to the brand (all-in net CPM), net budget cap and maximum billable views;
  6. f)any exclusions (for example prohibited statements, competitors or contexts).

(2) The brand is responsible for the accuracy, completeness, lawfulness and consistency of the campaign specification. In particular, it ensures that sounds, music and audio recordings approved in the campaign are actually approved for commercial and advertising use on target platforms and carry the necessary rights (including rights of collecting societies such as GEMA and neighbouring-rights holders under §§ 73 et seq., 85 UrhG). The brand understands that platform-provided sounds (for example TikTok, Instagram and YouTube sound features) are generally licensed only for non-commercial use on the relevant platform and create no rights for advertising, other platforms or reuse by the brand; approving such sounds in a campaign is permitted only where the necessary rights actually exist.

(3) ContentMarkt calculates and stores the commercial campaign snapshot server-side upon campaign creation. It is authoritative for settlement and remains immutable for that campaign. It includes in particular plan and plan version, all-in net CPM, currency, the settlement metric “validated views”, net budget cap and maximum billable views. Provisional account displays or entries do not override the stored snapshot; later plan-catalogue changes do not apply retrospectively to it. Individual agreements in text form remain unaffected under § 1(6).

(4) Plan names describe only the campaign's price category. They guarantee neither reach, virality, views, engagement or a particular number of participating Creators, nor additional rights or services. Extended rights or services exist only where expressly agreed for that campaign.

(5) The brand ensures that the campaign contains no requirements causing Creators to act unlawfully, in particular misleading advertising, unlawful comparative advertising, infringement of third-party rights or circumvention of advertising-disclosure obligations.

(6) ContentMarkt may inspect campaigns before activation and refuse or suspend activation where specific indications of a breach of these terms, legal requirements or target-platform guidelines exist. There is no duty to inspect; inspection does not guarantee a campaign's lawfulness.

(7) Subsequent changes to an already activated campaign specification are possible only through the platform and with effect for the future. Creator services already performed or commenced remain unaffected. The commercial campaign snapshot remains unaffected.

(8) Campaign-specific contract formation. Creating or activating a campaign alone does not establish settlement. When a Creator effectively submits a video within an open campaign, a campaign-specific service and settlement relationship arises between ContentMarkt and the brand under the parameters in the commercial campaign snapshot applicable at that time. An effective video submission is complete and timely through the designated platform feature with required details; it is not equivalent to later content approval or view validation. Settlement is governed exclusively by §§ 6 to 8.

4. Assurances of rights to source content

(1) The brand assures and is responsible for holding or having validly obtained all rights to its source footage necessary for campaign use. This includes in particular copyright and neighbouring rights (§§ 15 et seq., 73 et seq., 85 UrhG), trademark and other identifying rights, personality and image rights of depicted people, and rights to music, audio and other sound recordings, including any collecting-society rights (for example GEMA).

(2) The brand further assures that it may provide source footage to ContentMarkt and, through the platform, to Creators for creating and publishing clips on target platforms within the campaign's scope, and grant the necessary usage rights.

(3) The brand assures that source footage and campaign requirements violate no statutory provisions and infringe no third-party rights.

(4) The above assurances are not intended as liability independent of fault (independent guarantees under § 276(1) BGB) unless expressly agreed otherwise in text form in an individual case; the brand is responsible for their accuracy under general provisions. Its indemnification obligation is governed by § 12 and requires fault attributable to the brand. Where the brand expressly assumes an independent guarantee in an individual case, § 13(1)(c) applies.

(5) Under § 12, the brand indemnifies ContentMarkt against third-party claims based on a culpable breach of the assurances in this § 4.

5. Grant of licences

(1) The brand grants ContentMarkt the non-exclusive usage rights to source footage, geographically and temporally limited to the relevant campaign, necessary to transmit it to Creators through the platform and enable the campaign technically and organisationally. ContentMarkt makes no use beyond this.

(2) The grant of rights is limited to the purpose of the relevant campaign. It is neither blanket, unlimited in time, worldwide beyond the campaign purpose, nor a right to unrestricted sublicensing. Its scope is determined by the campaign's purpose (purpose-transfer principle, § 31(5) UrhG). Rights unnecessary to achieve that purpose remain with the brand.

(3) ContentMarkt may pass source footage to its engaged Creators within the relevant campaign's scope so that they can create clips and publish them on target platforms. Sharing takes place exclusively to conduct the campaign.

(4) Neither these terms nor the campaign specification grants the brand usage rights to the finished clip. It may view the publicly published clip and associated campaign data only to the extent necessary to conduct, review and settle the campaign. Without a separate written agreement with the Creator and ContentMarkt, the brand may in particular not store, download, repost, otherwise publish, edit or use the clip on websites, shops or its own social channels; use it for paid usage, boosting, whitelisting or Spark Ads; transfer or sublicense it to third parties; or use the clip or derived data to train, test or improve AI systems.

(5) After a campaign ends, ContentMarkt stops campaign-related transmission of source footage to new Creators. Rights to source footage contained in clips lawfully published by campaign end continue for the duration of the permitted publication of each clip, so that published clips do not become infringing solely because the campaign ends; the brand assures that it has granted or will grant sufficient source-footage rights for this continuation. Any recall or takedown of published clips is governed by Creator terms. ContentMarkt may require removals specified there, but has no technical access to delete a clip from the Creator's account itself and owes no particular removal outcome.

6. Plan, net budget cap and VAT

(1) The all-in net CPM displayed to the brand is the complete net price per 1,000 validated views for the campaign described in the commercial campaign snapshot. No separate intermediary, platform or Creator remuneration is charged in addition. Statutory VAT is charged additionally where due.

(2) The net budget cap and maximum billable views jointly limit settlement. ContentMarkt calculates the cap from the brand's stated limits and selected all-in net CPM and stores it in the commercial campaign snapshot. An unused cap is neither an advance payment nor an entitlement to remuneration or repayment.

(3) ContentMarkt's invoice to the brand is based exclusively on finally validated views within the limits stored in the commercial campaign snapshot. The net invoice amount does not exceed the net budget cap. No remuneration is charged for unvalidated views or views above the stored limits.

(4) If the brand is based abroad and the conditions for shifting tax liability to the service recipient (reverse charge) apply, the service is invoiced without German VAT; the invoice contains a notice of the recipient's tax liability (§ 13b UStG or Article 196 of Directive 2006/112/EC) and both parties' VAT IDs. The brand must provide its valid VAT ID and report changes.

(5) As principal, ContentMarkt issues the brand a proper invoice for the settled campaign service under §§ 14, 14a UStG as applicable. Since 1 January 2025, transactions between domestic business operators generally prioritise electronic invoices in a structured electronic format complying with European standard EN 16931 (e-invoice); statutory transitional provisions remain unaffected. The brand ensures it can receive structured electronic invoices. Where and for as long as legally permitted, invoices may also be issued in another electronic format (for example PDF); the brand agrees to this.

7. Invoicing and payment processing through the PSP

(1) As principal, ContentMarkt is the issuer and payment recipient of the brand invoice. Technical payment processing may take place through the PSP (currently Stripe Connect).

(2) The brand pays according to the invoice's payment instructions. Any PSP terms accepted for technical payment processing additionally apply to its payment service.

(3) Creating a campaign triggers neither an advance charge nor a reservation of the net budget cap. After verification is completed, ContentMarkt issues an invoice exclusively for billable services under § 6(3). Creator remuneration is governed by the Creator Terms and owed and paid by ContentMarkt regardless of whether or when the brand pays the corresponding invoice.

(4) The due date is stated in each invoice. Creator settlement and payout require verification under § 8 and, for payout, Creator tax cooperation under § 8a.

(5) The PSP is independently responsible for the availability, functionality and proper delivery of its own payment service provided directly to the brand under a separate contract; in that respect it is not ContentMarkt's performance agent. For parts of services owed by ContentMarkt to the brand for which it uses the PSP, liability under § 13 remains (§ 278 BGB).

8. Validated views and fraud reservation

(1) Settlement is based exclusively on validated views. A view is validated when verified as genuine and billable under ContentMarkt's anti-fraud and verification rules. Unvalidated views include in particular those resulting from manipulation, automated traffic (bots), purchased views, duplicate counting or other fraudulent or rule-breaking actions.

(2) After recording, views are held and reviewed for 7 days (at least 72 hours) (hold window). Settlement uses the lower of the initially recorded view count and the count confirmed after the hold window.

(3) ContentMarkt may review views before and during the hold window and, where justified suspicion exists, afterwards, defer settlement accordingly and exclude views that do not meet validated-view requirements. The brand is informed of significant objections.

(4) Views are determined and verified using data and methods available from target platforms and ContentMarkt under the current state of technology. ContentMarkt owes no absolute measurement accuracy, but careful verification based on comprehensible criteria.

(5) Only validated views within the limits stored in the commercial campaign snapshot form the settlement basis. Unvalidated views or views above the limits create no invoice claim for ContentMarkt against the brand.

8a. Tax transparency obligations (DAC7/PStTG)

(1) ContentMarkt is a reporting platform operator under Germany's Platform Tax Transparency Act (PStTG). Remuneration earned by Creators through the platform for creating and publishing clips constitutes a reportable activity (personal service, § 5(1), sentence 1, no. 2 PStTG); no de minimis threshold applies. ContentMarkt must by law collect and verify certain information about Creators and their remuneration and report it to Germany's Federal Central Tax Office (BZSt) by 31 January of the following year.

(2) Collection, verification and reporting of Creator tax data, statutory Creator cooperation obligations and consequences of non-cooperation (in particular use restrictions or withholding remuneration after two reminders, no earlier than 60 and no later than 180 days after the first request, § 23 PStTG) are governed by the legal relationship between ContentMarkt and Creators and the terms applicable to Creators.

(3) The brand acknowledges that payout of Creator remuneration may depend on the relevant Creator's tax cooperation, and that resulting delays or withholding of payouts to individual Creators neither constitute a breach by ContentMarkt towards the brand nor affect the existence or effectiveness of the campaign. No particular financial campaign success is thereby guaranteed (§ 1(4)). The brand's obligation to pay invoices for validated views under the commercial campaign snapshot remains unaffected.

9. Cancellation and unused budget

(1) The brand may end or pause a campaign through the platform with effect for the future. Services already performed or bindingly commissioned and no longer reversible when cancellation takes effect remain billable under the commercial campaign snapshot.

(2) On cancellation or regular campaign end:

  1. a)only views recorded before cancellation takes effect or campaign end and validated under § 8 within stored limits are settled;
  2. b)the unused net budget cap creates no payment obligation and is not an advance payment;
  3. c)any invoice correction required following later verification is made under statutory requirements and PSP terms.

(3) An invoice is corrected only after ongoing hold and review periods (§ 8) are completed, because validated views are not determined until then. The timing and technical processing of payment corrections follow PSP terms.

(4) The brand has no entitlement to correction or repayment where an invoice is based on already validated views within stored limits.

10. Chargebacks and payment disruptions

(1) If the brand revokes an executed payment, initiates a chargeback or causes a payment disruption for reasons attributable to it, the affected remuneration is considered unpaid.

(2) In that case, ContentMarkt may:

  1. a)restrict or suspend the campaign affected by the payment disruption until the outstanding amount is paid; restricting the account or additional fully paid campaigns is permitted only where necessary and proportionate to secure significant or repeated arrears attributable to the brand. ContentMarkt communicates the reasons and scope on a durable medium under § 14(3); the complaint process under § 14(6) remains available;
  2. b)demand the outstanding invoice amount;
  3. c)claim reasonable costs incurred by ContentMarkt and the PSP from the chargeback (in particular PSP chargeback fees) where the payment disruption is attributable to the brand.

(3) Creator remuneration already paid or released for payout for validated views remains unaffected by a later brand chargeback; the brand remains obliged to pay that amount.

(4) Further statutory claims, in particular default interest (§§ 286, 288 BGB), remain unaffected. No flat-rate damages are agreed; the brand expressly retains the right to prove lower damage.

11. Advertising disclosure and liability risk

(1) Clips created for campaigns are commercial communication. They are subject to advertising-disclosure obligations, in particular § 5a(4) UWG, § 22 MStV and § 6 DDG. The commercial purpose must be clearly and recognisably disclosed in German at the beginning of the post (for example “Werbung” or “Anzeige”). “#ad” alone or English-language disclosures are generally insufficient for German-speaking audiences.

(2) As the commissioning party for advertising communication, the brand is responsible for advertising requirements and their lawfulness. It must clearly specify required advertising disclosure in the campaign and may not impose requirements intended to or resulting in concealment of the advertising nature.

(3) The brand is informed that, as commissioning party, it may share liability under § 8(2) UWG for removal and cessation of violations by its agents (here, Creators). Creators' responsibility for actual disclosure on their accounts and their own disclosure obligations remain unaffected; the brand and Creators cooperate accordingly.

(4) ContentMarkt points out disclosure obligations on the platform but guarantees no legally compliant implementation by individual Creators in individual cases and does not itself act as advertiser.

12. Indemnification

(1) The brand indemnifies ContentMarkt against all third-party claims asserted against ContentMarkt due to a culpable breach of brand duties, assurances or guarantees under these terms or a campaign, in particular relating to

  1. a)provided source footage (§ 4), including infringement of third-party copyright, neighbouring rights, trademark, identifying, personality or privacy rights;
  2. b)campaign advertising and content requirements (§ 3, § 11), including competition-law breaches;
  3. c)inaccurate or incomplete brand information.

(2) Indemnification follows § 257 BGB. It also covers reasonable costs of necessary legal defence within statutory limits (in particular costs under RVG). No reimbursement exceeding statutory limits is owed.

(3) The indemnification obligation applies only where the underlying breach is attributable to the brand. ContentMarkt's contributory fault is considered under § 254 BGB; indemnification decreases to the extent the claim rests on circumstances attributable to ContentMarkt.

(4) ContentMarkt promptly informs the brand of a claim, allows it to respond and makes no admission or settlement without its consent unless required to prevent damage or by law. The brand reasonably supports ContentMarkt's legal defence.

13. Liability

(1) ContentMarkt has unlimited liability

  1. a)for intent and gross negligence;
  2. b)for damage from injury to life, body or health based on negligent or intentional breaches by ContentMarkt or its legal representatives or performance agents;
  3. c)under the Product Liability Act and within any guarantee expressly assumed by ContentMarkt.

(2) For ordinary negligence, ContentMarkt is liable only for breach of a material contractual duty (cardinal duty). A duty is material if its fulfilment enables proper performance of the contract and the brand may regularly rely on its observance. Liability is then limited to damage typical of the contract and foreseeable at contract formation.

(3) Otherwise, ContentMarkt's liability for ordinary negligence is excluded.

(4) These liability limits also benefit ContentMarkt's legal representatives, employees and performance agents. Liability for one's own intent cannot be excluded in advance (§ 276(3) BGB).

(5) ContentMarkt is not liable for a campaign's financial success, Creator acts or omissions, target-platform availability or behaviour, or PSP services independently provided to the brand under § 7(5). Paragraphs 1 to 4 remain unaffected.

(6) Force majeure is an unforeseeable, unavoidable event outside ContentMarkt's control that it cannot prevent even with care appropriate to the circumstances (for example natural disasters, war, industrial action, sovereign measures or widespread telecommunications or electricity failures). ContentMarkt is not responsible for force majeure; it is released from performance for the duration and extent of its effects. Paragraphs 1 to 4, in particular liability for intent and gross negligence and for culpably omitting reasonable precautions or responses, remain unaffected.

(7) These provisions do not change the burden of proof to the brand's disadvantage.

14. Transparency and fair terms (P2B)

(1) ContentMarkt voluntarily follows the principles of Regulation (EU) 2019/1150 promoting fairness and transparency for business users of online intermediation services (P2B Regulation).

(2) Where the platform orders campaigns, campaigns or Creators, or assigns campaigns to Creators, the main determining parameters are explained on the platform in generally understandable language. Parameters include in particular campaign relevance and fit, availability, qualified-view history and compliance with these terms and campaigns.

(3) If ContentMarkt restricts, suspends or ends all or part of the brand's platform use, it communicates reasons to the brand on a durable medium unless legally prohibited or overriding security reasons apply.

(4) Where platform services for the brand are fully terminated, ContentMarkt gives at least 30 days' notice unless exceptions apply. Notice is waived in particular where a legal obligation requires immediate termination or these terms are repeatedly breached.

(5) Changes to these terms are communicated to the brand on a durable medium. They take effect no earlier than 15 days after communication, unless a longer period is necessary or the brand waives the period. The communication typographically highlights the planned changes, their effective time and the brand's rights below. The brand may object before changes take effect. If it does not object and continues platform use after receiving the communication and after the notice period, this constitutes consent to the changes; the communication expressly and typographically highlights this. If the brand objects, either party may terminate the framework contract effective at the planned change time; previous terms apply until termination. If neither party exercises termination rights, previous terms continue where continuation is reasonable for ContentMarkt.

(6) The brand can use ContentMarkt's internal complaint management at hallo@contentmarkt.net for platform-related complaints. ContentMarkt handles complaints within a reasonable period and communicates the outcome on a durable medium.

15. Data protection

(1) ContentMarkt processes personal data under applicable data-protection provisions, in particular the General Data Protection Regulation (GDPR) and Germany's Federal Data Protection Act. Details are in the separately provided Privacy policy.

(2) These terms contain no data-protection consent. Where relevant, necessary consent is obtained separately outside these terms.

(3) Where ContentMarkt processes personal data for the brand as processor under Article 28 GDPR, the parties conclude a separate data-processing agreement (AVV). ContentMarkt provides a template on request. Where the parties are joint controllers under Article 26 GDPR for specific processing, they conclude a separate agreement.

16. Final provisions

(1) Duration and termination. The framework contract for platform use runs indefinitely and can be terminated by either party in text form with 14 days' notice to month-end, provided no campaign remains active. Extraordinary termination for good cause remains possible. For ContentMarkt, good cause includes in particular serious or repeated brand breaches of these terms, payment disruptions under § 10 or indications of unlawful conduct. § 14(3) and (4) remain unaffected.

(2) Handling ongoing campaigns. On framework-contract termination, ongoing campaigns are handled under §§ 8 and 9.

(3) Governing law. German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

(4) Jurisdiction. If the brand is a business operator, legal entity under public law or special fund under public law, exclusive jurisdiction for disputes arising from or relating to these terms is ContentMarkt's registered office in Berlin. ContentMarkt may also sue at the brand's general jurisdiction. Mandatory statutory jurisdictions remain unaffected.

(5) Text form. Changes and additions to these terms and individual arrangements require text form. This also applies to waiving that requirement. Prevailing individual agreements under § 305b BGB remain unaffected.

(6) Consumer dispute resolution. ContentMarkt is neither willing nor obliged to participate in dispute resolution before a consumer arbitration body (§ 36 VSBG). These terms are intended exclusively for business operators (§ 1(2)); no VSBG information duty applies in that respect. This notice is given only as a precaution should a consumer exceptionally be affected contrary to these terms' purpose.

(7) DSA contact point. ContentMarkt has established a central contact point under Regulation (EU) 2022/2065 (Digital Services Act, DSA), reachable at hallo@contentmarkt.net; communication is possible in German and English. Reports of unlawful content can be submitted via hallo@contentmarkt.net under the notice-and-action procedure (Article 16 DSA); decisions are communicated and a complaint process provided under Article 20 DSA.

(8) Severability. If individual provisions are or become wholly or partly invalid or unenforceable, remaining provisions stay effective. The statutory rule replaces the invalid or unenforceable provision. This clause does not reverse statutory content-control rules under §§ 305 et seq. BGB.
